DohOps Platform Terms

This policy incorporates and defers to DohAssist LLC’s Master Legal Framework for cross-brand protections, parent company liability limits, and AI data commercialization rights.

1. Introduction

These DohOps Platform Terms (“Platform Terms”) apply specifically to the DohOps cloud-based workforce management platform operated by DohAssist LLC (“DohAssist,” “we,” “us,” or “our”). These Platform Terms supplement and are subject to DohAssist LLC’s Terms of Service and Master Legal Framework. By accessing or using the DohOps platform, you agree to be bound by these Platform Terms.

2. Platform Description

DohOps is a Software-as-a-Service (SaaS) workforce management platform designed for multi-unit operators. The platform provides the following capabilities:

  • Employee scheduling and shift management
  • GPS-enabled time clock and attendance tracking
  • Task management and operational checklists
  • Team messaging and internal communications
  • Hiring and applicant tracking
  • Inventory management
  • Training LMS (Learning Management System)
  • Workforce analytics and reporting
  • Gamification and employee engagement tools

3. Account and Access

  • The client is responsible for maintaining the security and confidentiality of all account credentials, including usernames and passwords.
  • Each subscription provides one account per location unless otherwise agreed upon in writing.
  • Clients must not share login credentials with unauthorized parties. Any activity that occurs under your account is your responsibility.
  • DohAssist reserves the right to suspend or terminate access if unauthorized use or a security breach is detected.

4. Platform Availability and Uptime

  • DohOps is provided on an “as is” and “as available” basis.
  • We target 99.5% platform uptime but do not guarantee uninterrupted or error-free service.
  • Scheduled maintenance windows may cause temporary downtime. We will make reasonable efforts to notify clients in advance of planned maintenance.
  • DohAssist is not liable for any losses, damages, or disruptions resulting from platform outages, data synchronization delays, or technical failures.

5. Data Processing and Storage

  • Platform data may be stored on cloud servers located in the United States and internationally.
  • DohAssist reserves the right to use anonymized and aggregated platform data for analytics, benchmarking, AI model training, product improvement, and commercial purposes.
  • No compensation is owed to clients for such usage of anonymized or aggregated data.
  • Client data submitted to the platform remains subject to the data provisions outlined in the Master Legal Framework.

6. Client Responsibilities

  • The client is solely responsible for the accuracy of all data entered into the platform, including schedules, time entries, employee records, and inventory data.
  • The client must verify all platform outputs, including but not limited to payroll calculations, labor cost reports, and compliance alerts.
  • DohAssist is not liable for errors in scheduling, payroll discrepancies, or compliance violations resulting from incorrect data input or failure to review platform outputs.
  • The client is responsible for ensuring that its use of the platform complies with all applicable labor laws and regulations in its jurisdiction.

7. No Guarantee of Results

  • Platform analytics, benchmarks, and recommendations are provided for informational purposes only and do not constitute professional HR, legal, or financial advice.
  • Labor savings projections, efficiency metrics, and performance benchmarks are illustrative and are not guaranteed outcomes.
  • Clients should consult qualified professionals for HR, legal, and financial decisions.

8. Limitation of Liability

  • DohAssist LLC’s maximum aggregate liability for any claim arising from or related to the DohOps platform is capped at the total DohOps subscription fees paid by the client in the 30 calendar days immediately preceding the event giving rise to the claim.
  • DohAssist is not liable for any indirect, incidental, special, or consequential damages, including but not limited to lost wages, scheduling conflicts, overtime costs, regulatory fines, or lost profits.
  • Platform data loss resulting from client error, unauthorized access, or third-party integrations is the client’s responsibility.

9. Integrations and Third-Party Services

  • DohOps may integrate with point-of-sale (POS) systems, payroll providers, and other third-party tools to enhance functionality.
  • DohAssist is not responsible for failures, data loss, or errors caused by third-party integrations or the unavailability of third-party services.
  • POS Integration is available at $59 per POS terminal per month.
  • The client is responsible for maintaining active accounts and proper configurations with any third-party services used in conjunction with DohOps.

10. Intellectual Property

The DohOps platform, including its codebase, algorithms, user interface, user experience design, documentation, and all associated materials, are the exclusive intellectual property of DohAssist LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the platform for the duration of your subscription. You may not copy, modify, reverse-engineer, or create derivative works based on the platform.

11. Termination

  • Either party may terminate the DohOps subscription with 30 days’ written notice to the other party.
  • Upon termination, the client may request a data export within 30 days of the termination effective date. DohAssist will provide the requested data in a standard format (CSV or similar).
  • After 30 days following termination, all client data stored on the DohOps platform may be permanently deleted without further notice.
  • DohAssist reserves the right to terminate access immediately if the client violates these Platform Terms or engages in activity that threatens the security or integrity of the platform.

12. Governing Law and Dispute Resolution

  • These Platform Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions.
  • Any disputes arising from or related to these Platform Terms or the DohOps platform shall be resolved through binding arbitration in Travis County, Texas, under the rules of the American Arbitration Association.
  • Both parties waive any right to participate in a class action lawsuit or class-wide arbitration related to the DohOps platform or these Platform Terms.
  • The prevailing party in any arbitration shall be entitled to recover reasonable attorney’s fees and costs.
